Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of the GlobalCommodityX platform, website, and related services (collectively, the "Platform") operated by GlobalCommodityX ("we", "us", "our"). By creating an account, posting an RFQ, submitting a bid, or otherwise using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you use the Platform on behalf of a company, you represent that you are authorized to bind that company, and "you" refers to that company.

If you do not agree to these Terms, do not use the Platform.

2. The Platform

GlobalCommodityX is a business-to-business marketplace that connects buyers, suppliers, and trading agencies for the trade of physical commodities. The Platform provides tools to post requests for quotation ("RFQs"), submit bids, run live reverse auctions, calculate landed costs, manage orders and invoices, and access market intelligence.

We are a technology intermediary. We are not a party to any transaction between buyers and suppliers, we do not take title to any goods, and we do not act as a broker, agent, or warehouse for either side unless expressly agreed in writing. Contracts of sale are formed directly between the transacting businesses.

3. Eligibility and accounts

The Platform is intended for businesses only and is not directed at consumers. You must be at least 18 years old and legally capable of entering binding contracts. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account, including activity by team members and agents you invite.

You agree to provide accurate, current, and complete information during registration, onboarding, and KYC verification, and to keep it up to date. We may suspend or terminate accounts that provide false or misleading information.

4. Verification and KYC

Suppliers and other participants may be required to complete know-your-customer ("KYC") verification, including submitting business registration, tax, and identity documents. A "Verified" badge indicates that a participant completed our verification checks at a point in time; it is not a guarantee of performance, solvency, product quality, or legal compliance, and you remain responsible for your own due diligence on counterparties.

5. RFQs, bids, auctions, and orders

Buyers are responsible for the accuracy of RFQ specifications, quantities, delivery terms, and incoterms they post. Suppliers are responsible for the accuracy of bids, quoted prices, certifications, and delivery commitments. A bid accepted or an auction awarded through the Platform may create a binding commercial commitment between the buyer and supplier under the terms stated in the RFQ and winning bid.

Trading agencies and agents acting on behalf of a buyer or supplier must hold valid authorization from that party. Actions taken by an authorized agent through the Platform bind the party they represent.

We do not guarantee that any RFQ will receive bids, that any bid will be accepted, or that any transaction will complete, and we are not responsible for the performance, quality, safety, legality, or delivery of goods traded through the Platform.

6. Fees and subscriptions

Use of certain features requires a paid subscription plan or add-on as described on our Pricing page. We also charge a transaction fee on awarded orders at the rate applicable to your plan. Fees are stated before you subscribe and may change with prior notice; changes apply from your next billing cycle. Except where required by law, fees are non-refundable.

You are responsible for all taxes, duties, and government charges arising from your use of the Platform or your transactions, other than taxes on our net income.

7. Acceptable use

You agree not to:

  • use the Platform for any unlawful purpose, including trade in prohibited, counterfeit, or sanctioned goods, or with sanctioned parties;
  • post false, misleading, or fraudulent RFQs, bids, company information, or documents;
  • manipulate auctions, collude on bids, or interfere with fair competition on the Platform;
  • circumvent the Platform to avoid transaction fees after making contact through it;
  • scrape, harvest, or bulk-download Platform data, or access the Platform by automated means except through interfaces we provide;
  • upload malicious code, probe or test the vulnerability of our systems, or interfere with the Platform's operation; or
  • infringe the intellectual property, privacy, or other rights of any person.

8. Trade compliance

International commodity trade is subject to export controls, sanctions, customs, and other laws. You are solely responsible for ensuring that your transactions comply with all applicable laws of the countries involved, including obtaining licenses and permits. We may remove listings, block transactions, or suspend accounts that we reasonably believe violate trade laws.

9. Your content

You retain ownership of the content you submit to the Platform (RFQs, product listings, documents, logos, and other materials). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content as needed to operate, improve, and promote the Platform. You represent that you have the rights to the content you submit and that it does not violate any law or third-party right.

10. Market data and AI features

Pricing benchmarks, market intelligence, and AI-generated insights available on the Platform are provided for general information only. They may be incomplete, delayed, or inaccurate, and they are not trading, investment, legal, or professional advice. You should independently verify any information before relying on it in a commercial decision.

11. Intellectual property

The Platform, including its software, design, logos, and content we create, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Platform for your internal business purposes in accordance with these Terms. You may not copy, modify, reverse engineer, or create derivative works of the Platform except as permitted by law.

12. Disputes between users

Disputes arising from a transaction (quality, quantity, delivery, payment, and similar matters) are between the buyer and the supplier. We may, at our discretion, provide a dispute-resolution process to help the parties reach an outcome, but we are not obligated to resolve disputes and any assistance we provide does not make us a party to the transaction.

13. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that information on it is accurate or complete.

14. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or related to the Platform or any transaction conducted through it. Our total aggregate liability for all claims in any twelve-month period will not exceed the fees you paid to us in that period, or USD 100 if you paid no fees.

15. Indemnity

You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your content, your transactions, or your breach of these Terms or applicable law.

16. Suspension and termination

You may stop using the Platform and close your account at any time. We may suspend or terminate your access, remove content, or decline transactions if we reasonably believe you have breached these Terms, pose a risk to the Platform or other users, or where required by law. Sections that by their nature should survive termination (including fees owed, content licenses, disclaimers, limitation of liability, and indemnity) survive.

17. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Platform before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

18. Governing law and jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to any mandatory arbitration or consumer rules that apply, the courts of New Delhi, India shall have exclusive jurisdiction over disputes arising from these Terms or the Platform.
